The Material that is covered by this Agreement is described as: _______________________________________________________________________ If applicable, the Material shall include any medium in which such Material is provided, any unmodified progeny of or descendent from the original Biological Material (such as virus from virus, cell from cell or organism from organism), any immediate or remote progeny of or descendant from organisms or cell lines containing the same genetic mutation or lesion as the original Material, and any substance which constitutes an unmodified functional sub-unit or an expression product of the original Material (such as sub-clones of unmodified cell lines, purified or fractionated sub-sets of the original Material, proteins expressed by DNA/RNA, monoclonal antibodies secreted by a hybridoma cell line, or sub-sets of the original Material, such as novel plasmids or vectors), hereinafter Material 2. The Material is the property of ɫ or ɫ has the right to transfer the Material. ɫ shall be free, in its sole discretion, to distribute the Material to others for any purpose and to use it for its own purposes. 3. If intellectual property results from collaborative efforts between Recipient and ɫ, ownership and inventorship shall be determined according to US patent law and each inventor shall assign their entire right, title, and interest in accordance with the rules and regulations of their respective employer. 4. Recipient agrees that the Material will not be used for any other purpose beyond the scope or intent of Research and that neither the Material nor any biological materials treated therewith will be used in human beings. 8. This Agreement and the resulting transfer of Material constitute a license to use the Material solely for Recipient internal Research use. Recipient agrees that nothing herein shall be deemed to grant to Recipient any rights under any ɫ patents or any rights to use the Material for any products or processes for profit-making or commercial purposes. The Material will not be used in research that is subject to consulting or licensing obligations of Recipient to another individual, institution or business entity unless prior written permission is obtained from ɫ. 9. Recipient shall have no rights in the Material other than as provided in this Agreement. Upon completion of the Research or at the request of ɫ, Recipient shall within thirty (30) days return all unused Material to ɫ at XX expense (or destroy Material and provide ɫ written notification of destruction) certified by signature of an authorized officer of Recipient that Recipient is no longer in possession of Material.) 10. Recipient will inform ɫ, in confidence, of results of Research related to the Material by personal written communication or by providing ɫ with a draft manuscript describing such results. If Recipient is a for-profit entity, Recipient may not publish, attempt to publish, submit, or present any subject matter related to or derived from Material or Research without prior written approval from ɫ. If Recipient is a non-profit entity and it desires to publish such Research results in a non-commercial scientific publication, Recipient will provide ɫ with a copy of any manuscript or abstract disclosing such Research results prior to submission thereof to a publisher or to any third party, and in any case, not less than forty-five (45) days prior to any public disclosure, for the purpose of protecting the Material and any proprietary and intellectual property of ɫ that might be disclosed by such publication. In any resulting publication, Recipient agrees to acknowledge ɫ scientists, as academically and scientifically appropriate, based on provision of the Material or other direct contribution to the Research. 11. The Material is experimental in nature and it is provided WITHOUT WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, EXPRESS OR IMPLIED. ɫ MAKES NO REPRESENTATION OR WARRANTY THAT THE USE OF THE MATERIAL WILL NOT INFRINGE ANY PATENT OR OTHER PROPRIETARY RIGHT. 12. In no event shall ɫ be liable for any use by Recipient of the Material for any loss, claim, damage or liability, of whatsoever kind of nature, which may arise from or in connection with this Agreement or the use, handling or storage of the Material, except to the extent that the same can be shown to have been caused by the gross negligence or willful misconduct of ɫ. (Except where limited by Federal law, or by the constitution and laws of the state governing the recipient,) Recipient agrees to indemnify and hold harmless the ɫ System, ɫ, their Regents, officers, agents and employees, from any liability, loss or damage they may suffer as a result of claims, demands, costs or judgments against them arising out of the activities to be carried out pursuant to this Agreement and the use by Recipient of the results obtained from Research. 13. Recipient will use the Material in compliance with all laws, governmental regulations and guidelines applicable to the Material, including Export Control laws of the United States Government, any laws or regulations applicable to research with recombinant DNA, and further, when the Material is used in the United States, Recipient will comply with current NIH and/or other applicable guidelines. 14. This Agreement is not assignable, whether by operation of law or otherwise, without the prior written consent of ɫ. 15. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas and venue for any conflict resolution shall be exclusively in Harris County, Texas. 16.
